Ms. Min Shen focuses her practice on information disclosure compliance for listed companies, regulatory investigations involving disclosure violations or insider trading, defense in administrative penalty and disciplinary matters, and corporate governance optimization.

Ms. Shen is among the earliest professionals in China to specialize in high-risk information disclosure advisory for listed companies. She is particularly adept at handling complex and sensitive disclosure issues and has led or participated in numerous regulatory defense and corporate governance optimization projects. Her team has served a wide range of listed companies across industries including semiconductors, biopharmaceuticals, advanced manufacturing, and telecommunications.

Prior to joining Chong Li Law Firm, Ms. Shen worked at China Securities Co., Ltd. and a prominent domestic securities compliance consulting firm.

Administrative Penalty and Disciplinary Defense：

  • Represented three senior executives of a Main Board listed company (power distribution equipment sector) in a CSRC administrative penalty case, resulting in full exemption from penalties totaling RMB 1.5 million.

  • Represented sixteen individuals in a disciplinary case involving a Main Board listed defense company; only three were penalized, the rest were exempt.

  • Represented three independent directors of a pharmaceutical Main Board listed company in a disciplinary case; outcome reduced from public censure to internal notice.

  • Represented ten directors and supervisors of a wholesale/retail Main Board listed company; seven had penalties reduced from public censure to internal notice.

  • Represented the actual controller of a ChiNext-listed medical device company; outcome reduced from public censure to internal notice.

  • Provided defense in CSRC administrative penalty and hearing cases related to fund misappropriation and disclosure violations for a Main Board internet company.

  • Represented a Main Board listed wholesale/retail company in CSRC administrative disclosure violation proceedings.


 Corporate Governance Optimization：

 

  • Provided governance optimization services to a ChiNext company in Shenzhen, two Main Board companies in Guangxi, three ChiNext companies in Guangzhou, one STAR Market company in Qingyuan, one ChiNext company in Zhongshan, one ChiNext company in Zhuhai, two Main Board companies in Guangzhou, and one ChiNext company in Foshan. Conducted comprehensive on-site compliance assessments and offered rectification and improvement recommendations.
