Ms. Jiang Dandan primarily focuses on compliance and consulting services related to information disclosure for listed companies, corporate governance optimization, and standardized operations. Her work includes reviewing and revising daily announcements, clarifying information disclosure and operational compliance issues, controlling the quality of periodic reports, and responding to regulatory inquiries. She provides ongoing information disclosure consultation and compliance services to numerous listed companies on the Shanghai, Shenzhen, and Beijing Stock Exchanges.

 

Before joining Chong Li Law Firm, Ms. Jiang was a dedicated lawyer in the Securities and Capital Markets team at Guohao Law Firm (Shenzhen), where she was responsible for securities capital business. Her experience covers domestic and overseas securities issuance and listing, investment and mergers & acquisitions, and long-term legal advisory services. She has extensive practical experience in the field of corporate investment and financing, offering a wide range of services including New Third Board listing, IPOs, VC/PE equity investment due diligence, drafting and revising commercial contracts, and corporate compliance.

  • Provided ongoing information disclosure services for listed companies, including Ben Chuan Intelligent (300964.SZ), Tianlong Group (300063.SZ), Shuiyang Co., Ltd. (300740.SZ), Qiaoyin Co., Ltd. (002973.SZ), and Ligao Food (300973.SZ).

 

New Third Board Listing and IPO:

 

  • Led the New Third Board listing projects for Hanbo Design (873685) and Keton Co., Ltd. (874093).

  • Managed the small-scale fast refinancing project for Chao Ping San (300647.SZ) in 2022 and led the listing projects for three domestic companies and two overseas companies in the pre-IPO stage.

  • Provided legal services such as due diligence, document drafting and review, regulatory filings, and responses to inquiries from regulatory authorities.


Investment & Mergers & Acquisitions::

 

  • Managed due diligence and legal advisory for multiple investment and M&A projects, including equity financing for Shenzhen Xue Tai Technology Co., Ltd.; mergers between Gree Jintou and Shenzhen Zhongxing Integration; acquisitions by Chao Ping San of San Ton Lithium; acquisitions by Yiwei Lithium Energy of Ruifo Lithium; and equity financing due diligence for Shenzhen High-tech Investment Group’s investment in Hongtao Co., Ltd.

  • Provided comprehensive legal services including due diligence, transaction structure design, negotiation, and documentation for these projects.
